International Company Formation

Choose the right jurisdiction and structure for your business.

We approach company formation in the UK, US and Germany as part of a wider operating structure — considering banking, tax, e-commerce and compliance requirements alongside incorporation.

More than a company

Incorporation is the first layer of your business infrastructure.

Bank and payment accounts, tax registrations and marketplace or store accounts all attach to the company, so the formation decision should reflect what it will need to carry later. None of these layers comes into existence with incorporation, though — each has its own application, approval or registration process.

Whatever structure you need after formation is planned separately, according to how the business will operate.

Choosing a jurisdiction

UK, US or Germany: which structure fits your business model?

Three countries, three different company and tax systems — and none is the right answer for every business. The choice depends on where, how and to whom you sell.

    • Amazon UK operations
    • UK company infrastructure
    • Accounting and Corporation Tax

Decision framework

Don't choose a country on formation cost alone.

The right company structure emerges when these questions are considered together.

  1. 01

    Where will you sell?

  2. 02

Amazon, your own store, or both?

  3. 03

Which market are your customers in?

  4. 04

    Where will inventory be held?

  5. 05

    How will your payments work?

  6. 06

What tax and compliance obligations apply?

An important distinction

Forming a company doesn't mean a bank account opens automatically.

Company formation and bank or payment-provider onboarding are separate approval processes. Banks and payment institutions make their own, independent assessment.

  1. 01CompanyFormation completed
  2. 02Bank / payment providerIndependent onboarding and review
  3. 03Business operationsBegin after approval

What onboarding may involve

  • Identity verification
  • Business model review
  • Source of funds checks
  • Operating address checks
  • Compliance review

Within the scope of our service, we help you prepare and navigate the process. Account opening is the institution's decision and is not guaranteed.

An important distinction

Where a company is formed and where it owes tax are not the same question.

Tax obligations don't depend only on the country of registration; where the company is managed and where it actually does business can change the outcome.

Factors that may be relevant

  • Company jurisdiction
  • Place of management and control
  • Nature of the business activity
  • Customer location
  • Inventory location
  • Owner and director circumstances
  • Applicable local and international rules

Tax position should be assessed for each company and individual.

After formation

  4. 04Marketplace / e‑commerce

An Amazon account or your own store.

  5. 05Trademark & brand

    Protecting and registering your brand.

  6. 06

    Compliance

    Product- and market-specific obligations.

  7. 07

Frequently Asked Questions

About company formation

See all questions
Should I form my company in the UK, the US or Germany?

There is no single right answer for every business. The choice depends on where you will sell, your sales channels (Amazon, your own store or both), where stock will be held, how payments will work and the tax obligations involved. We work through these questions together in an initial consultation.

Do I need to live in the country to form a company there?

Generally, you don't need to live in the UK, the US or Germany to form a company there. Director, address and registration requirements do vary by country and company type, however. Forming a company does not by itself grant residence or work rights, or create a physical place of business in that country.

What is a UK LTD?

A UK LTD (private limited company) is a company registered with Companies House in which the members' liability is limited. After formation it has recurring obligations such as annual accounts, Corporation Tax (CT600) and the Confirmation Statement.

What is the difference between an LLC and a Corporation?

An LLC (Limited Liability Company) is generally the more flexible structure in terms of management and tax treatment, while a Corporation is a more formal, share-based structure. The tax outcome depends on the number of owners, the founders' circumstances, the state and the tax classification chosen, so the right structure should be assessed against your business model.

What is an EIN, and is it the same as forming the company?

No. The company is formed at state level, while the EIN (Employer Identification Number) is a federal tax identification number issued by the IRS through a separate process after formation. It is often needed for banking, payments and tax filings.

Does forming a company automatically give me a bank account?

No. Banks and payment providers run their own onboarding and may review identity, business model, source of funds and addresses. We can help you prepare, but opening an account is the institution's decision and cannot be guaranteed.

Does forming a company mean I'm registered for VAT?

No. Company registration and VAT registration are separate processes. Whether VAT registration is needed depends on the country, sales volume, where stock is held and the nature of the activity. In the US, state-level sales tax rules apply instead of VAT.

What is the main difference between a UG and a GmbH in Germany?

Both are limited liability companies. A UG (haftungsbeschränkt) is a form of GmbH that can be set up with lower starting capital and is subject to specific rules, such as setting aside part of its profits as a reserve. Which suits you depends on your capital plans, activity and the expectations of the shareholders.

Is accounting required after the company is formed?

Generally, yes. A company needs to keep accounting records and make periodic filings and returns according to its jurisdiction; some filings may continue even without trading activity. The scope depends on the country, company type and activity.
